LICENSE AND TECHNICAL ASSISTANCE AGREEMENT


This AGREEMENT made and entered into this _____________________ by and between ABC CO, LTD. duly organized and existing under the Laws of Japan , with its principal place of business at (________________________), Japan(hereinafter referred to as ABC) and XYZ CO., LTD. duly organized and existing under the Laws of the Republic of Korea, with its principal place of business at (_______________________) Korea(hereinafter referred to as XYZ

WITNESSETH THAT,

Whereas, ABC has long been engaged in the manufacture and sale´of the LICENSED PRODUCTS(as hereinafter defined) with a substantial amount of know-how, information and patents embodied in the design and the manufacture thereof and

Whereas, XYZ desires to manufacture and sell the LICENSED PRODUCTS and obtain the technical, manufacturing and other information and services on the LICENSED PRODUCTS.

Whereas, ABC is willing to license XYZ the right to manufacture and sell the LICENSED PRODUCTS and to furnish to XYZ services therefor Now, therefore, in consideration of the promises and of the mutual covenants and agreements herein contained, the parties hereto agree as follows;
